# 2.2 双链协同

在实际运作中，大部分面向中国资产的RWA项目采用“双链协同架构”：

####        1.    数据确权阶段（国内）：

* 使用蚂蚁链、星火链等联盟链，将资产收益权、经营权等要素进行链上确权；
* 可通过监管沙盒机制验证其经营真实性与持续性。

####        2.    资产发行阶段（香港）：

* 在香港设立SPV或专项基金，将联盟链数据导出并作为审计底稿；
* 在以太坊、Polygon等公链上发行RWA Token，并对接投资人。

 

#### 合格投资人需满足以下基本条件：

* 在香港本地银行开设账户；
* 拥有至少800万港币的资产证明（可由券商、银行、信托机构认证）；
* 投资渠道必须通过支持RWA产品分销的券商或银行通道，如持牌九号牌机构等。

 

资产所有权在链上发币完成后，SPV结构将作为收益权的法律绑定方，使RWA产品可以合法销售给香港或其他离岸市场的合格投资人群体。
