# 2.2 雙鏈協同架構

在面向中國內地資產的RWA應用中，實務上多採用\*\*「雙鏈協同」\*\*架構，以實現資產合規確權與全球發行流通之間的銜接。

#### 一、確權階段（中國內地）：

* 使用螞蟻鏈、星火鏈等聯盟鏈記錄資產收益權與經營權；
* 通過地方或行業監管沙盒進行真實性驗證與風險審查。

#### 二、發行階段（香港）：

* 在香港設立SPV（特殊目的載體）或基金結構，將聯盟鏈資料作為審計底稿；
* 在以太坊、Polygon等公鏈上發行RWA代幣，連接香港與國際投資人。

#### 合資格投資者條件：

* 必須於香港開立本地銀行賬戶；
* 擁有不少於800萬港元資產證明（可由持牌券商、銀行或信託公司開立）；
* 投資通道需經由獲發第九類牌照（提供資產管理）或具分銷許可的券商或銀行。

代幣一旦發行，SPV作為收益權的法律主體，將RWA產品合法化後提供予香港及其他離岸市場的合資格投資人群體。
